Welcome to VENT D'HIVER. The terms "we", "us" and "our" refer to VENT D'HIVER. VENT D'HIVER operates this online store and website, including all related information, content, features, tools, products and services (collectively, the "Services") in order to provide you with a curated shopping experience. VENT D'HIVER is powered by Shopify, which enables us to provide the Services to you.
These Terms of Service (the "Terms"), together with any policies referenced or linked herein (including our Privacy Policy, Returns & Store Credit Policy, Shipping Policy and Purchase Options & Cancellation Policy), describe your rights and responsibilities when you use the Services.
By visiting, accessing, browsing, or using the Services, you agree to be bound by these Terms and our Privacy Policy (https://ventdhiver.com/policies/privacy-policy). If you do not agree to these Terms of Service or our Privacy Policy, you must not use or access the Services.

SECTION 1 – ACCESS AND ACCOUNT
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state, province, or country of residence, and that you have given your consent for any of your minor dependents who use devices you own or control to access the Services.
To use the Services, including accessing or browsing our online store or purchasing any products, you may be asked to provide certain information, such as your name, email address, billing details, payment information, and shipping address. You represent and warrant that all information you provide is true, accurate, current, and complete, and that you have all rights necessary to provide such information.
You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activity that occurs under your account. You may not transfer, sell, assign, or license your account to any other person. We reserve the right to suspend or terminate any account that we believe is being used in violation of these Terms.
SECTION 2 – OUR PRODUCTS
VENT D'HIVER pieces are produced on demand in limited quantities. We make reasonable efforts to display accurate images, descriptions, and details of our products. However, product colors, textures, and finishes may vary due to differences in screens, devices, display settings, and manufacturing processes. We do not warrant that the appearance, colors, or quality of any products or services purchased by you will meet your personal expectations or be identical to how they appear on your device.
All product descriptions, prices, specifications, and availability are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time.
Only products purchased directly from VENT D'HIVER or from authorized partners are genuine VENT D'HIVER products. We are not responsible for counterfeit, unauthorized, or second-hand items.
Campaign imagery, lookbooks, event visuals, video content, graphic design, logos, packaging, and all related creative elements are protected intellectual property and may not be copied, redistributed, or used without our prior written consent.
Sizing and fit may vary by style and fabric. Variations in fit, minor differences in color, or normal wear and tear do not constitute a defect.
SECTION 3 – ORDERS
When you place an order through the Services, you are making an offer to purchase the products in your cart. VENT D'HIVER reserves the right, in its sole discretion, to accept or decline any order, in whole or in part, for any reason. Your order is not accepted until we send you an order confirmation email.
We must receive and successfully process your payment before your order is accepted and moved into production. Because our pieces are made-to-order and produced in limited runs, once an order is accepted, it may not be possible to cancel or modify it. Please review your order carefully before checkout.
We reserve the right to:
- limit or refuse any order placed by a customer, household, or account;
- cancel or reduce orders that, in our judgment, appear to be placed by dealers, resellers, bots, or distributors;
- refuse service or close accounts in cases of suspected fraud, abuse, or suspicious activity.
Your purchases are subject to our Returns & Store Credit Policy (https://ventdhiver.com/policies/refund-policy), Shipping Policy (https://ventdhiver.com/policies/shipping-policy), and Purchase Options & Cancellation Policy (https://ventdhiver.com/policies/purchase-options-cancellation-policy), which are incorporated into these Terms.
You represent and warrant that your purchases are for your own personal or household use, and not for unauthorized commercial resale or export.
SECTION 4 – PRICES AND BILLING
All prices are shown in our primary transactional currency (as displayed at checkout), unless otherwise indicated. Prices, discounts, promotions, and offers are subject to change at any time without notice.
The price charged for a product will be the price in effect at the time your order is placed and will be set out in your order confirmation email. Unless expressly stated otherwise, prices shown do not include shipping, handling, customs duties, import taxes, or value-added taxes (VAT/GST/HST), all of which are your responsibility.
We may, from time to time, offer promotions or discount codes. Such offers may be subject to additional terms. In the event of a conflict between a promotion's terms and these Terms, the promotion's terms will govern for that specific offer.
You agree to provide current, complete, and accurate purchase and payment information for all purchases made through the Services and to promptly update your account information, including email address and payment details, so that we can complete your transactions and contact you as needed.
By providing a payment method, you represent and warrant that you are authorized to use that method and that:
- the payment information you provide is true, correct, and complete;
- charges incurred by you will be honored by your payment provider; and
- you will pay all charges incurred by you, including shipping, handling, and any applicable taxes, duties, or fees.
SECTION 5 – SHIPPING AND DELIVERY
Our Shipping Policy (https://ventdhiver.com/policies/shipping-policy) forms part of these Terms.
All delivery times are estimates only and are not guaranteed. Fulfillment and shipping timeframes may vary based on product type, destination, carrier availability, customs processing, and external circumstances.
Title and risk of loss transfer to you once we hand your order to the carrier. We are not responsible for shipping delays or non-delivery caused by:
- carriers or postal services;
- customs inspections or import controls;
- inaccurate or incomplete shipping addresses;
- failure to pay customs duties or import taxes;
- force majeure events or circumstances beyond our control.
International orders are typically shipped on a "Delivered Duty Unpaid" (DDU) basis, meaning you are solely responsible for any customs duties, import taxes, brokerage fees, and related charges imposed by your country's authorities.
SECTION 6 – RETURNS, STORE CREDIT AND ALL SALES FINAL
Our Returns & Store Credit Policy (https://ventdhiver.com/policies/refund-policy) forms part of these Terms.
VENT D'HIVER pieces are produced on demand in limited quantities. Accordingly, all sales are final. We do not accept cancellations, returns, or exchanges for change of mind, wrong size, or buyer's remorse.
We only consider returns in cases where an item is defective, damaged, or incorrect. Approved returns are eligible for store credit only, not cash or card refunds, and must comply with all conditions stated in our Returns & Store Credit Policy.
Any refunds issued due to legal requirements or exceptional circumstances will be processed using the original payment method where possible, subject to our policies and applicable law.
Nothing in these Terms of Service or in our Returns & Store Credit Policy is intended to limit any mandatory consumer rights you may have under applicable law in your country of residence. Where local law grants you specific non-waivable rights, those rights will prevail in the event of any conflict.
SECTION 7 – INTELLECTUAL PROPERTY
The Services, including but not limited to all names, logos, trademarks, product and collection names, text, designs, graphics, images, photographs, videos, audio, lookbooks, campaign content, packaging designs, and any selection and arrangement thereof, are owned by VENT D'HIVER or its licensors and are protected by copyright, trademark, and other intellectual property laws.
These Terms permit you to use the Services for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on or from the Services, except for copies made for your own personal, non-commercial use.
Except as expressly provided in these Terms, nothing shall be construed as granting any license or right to you under any patent, trademark, copyright, or other intellectual property of VENT D'HIVER, Shopify, or any third party. All rights not expressly granted are reserved.
Any unauthorized use of the Services or our intellectual property may constitute a violation of applicable laws.
SECTION 8 – OPTIONAL TOOLS
You may be given access to tools or features operated by third parties as part of the Services (for example, integrated apps, review platforms, or payment providers). We do not monitor, control, or have input into these tools.
You acknowledge and agree that we provide access to such tools on an "as is" and "as available" basis, without any warranties, representations, or conditions of any kind and without endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Your use of any optional third-party tools offered through the Services is entirely at your own risk and discretion. You should ensure that you understand and agree to the terms on which those tools are provided by the relevant third-party provider(s).
Any new features, apps, or tools added to the Services in the future will also be subject to these Terms of Service.
SECTION 9 – THIRD-PARTY LINKS
The Services may contain content, functionality, or links to websites, services, or resources provided by third parties. We do not control, endorse, or guarantee any third-party content and are not responsible for examining or evaluating the accuracy, reliability, or legality of such content or websites.
If you access any third-party websites or services, you do so at your own risk. We are not liable for any harm, loss, or damages arising from your use of or reliance on any third-party websites, products, services, resources, or content.
You should carefully review the applicable third-party policies and terms before engaging in any transaction with them.
SECTION 10 – RELATIONSHIP WITH SHOPIFY
VENT D'HIVER is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with VENT D'HIVER.
By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and VENT D'HIVER, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with VENT D'HIVER.
SECTION 11 – PRIVACY POLICY
All personal information we collect through the Services is subject to our Privacy Policy (https://ventdhiver.com/policies/privacy-policy). Because the Services are hosted by Shopify, certain personal information is also subject to Shopify's Privacy Policy, which can be viewed here: https://www.shopify.com/legal/privacy
By using the Services, you acknowledge that you have read and understood our Privacy Policy and Shopify's Privacy Policy and that your personal information will be collected, used, stored, and shared as described therein, including transfers to other countries as required to provide the Services.
SECTION 12 – FEEDBACK AND USER CONTENT
If you submit, upload, post, email, or otherwise transmit any ideas, suggestions, reviews, feedback, proposals, plans, or other content ("Feedback") to us, you grant VENT D'HIVER a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose, including commercial purposes.
You represent and warrant that: (i) you own or have all rights to the Feedback; (ii) the Feedback does not infringe any third-party rights; and (iii) your Feedback complies with these Terms.
We may, but are not obligated to, monitor, edit, or remove Feedback that we determine, in our sole discretion, to be unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable, or that violates any party's rights or these Terms.
SECTION 13 – HEADSHOP PRODUCTS AND RESTRICTIONS
Certain products (including, without limitation, lighters, grinders, or similar accessories) may be restricted by age or local law. You are solely responsible for knowing and complying with the laws and regulations in your jurisdiction.
By purchasing any restricted items, you represent and warrant that:
- you are of legal age in your jurisdiction to purchase and use such products;
- you will use such products only for lawful purposes; and
- you are not purchasing such items for illegal use.
We reserve the right to refuse or cancel orders for headshop or restricted products where we believe shipment or use would violate applicable laws or carrier restrictions. We disclaim all liability for misuse of such items.
SECTION 14 – ETHICAL COMPLIANCE AND SANCTIONS
You may not use the Services or purchase products for any purpose that violates applicable export control, sanctions, or trade laws. This includes, without limitation, purchasing or shipping products into countries subject to embargoes, comprehensive sanctions, or other restrictions.
We reserve the right to cancel and refund any order where we believe fulfillment would violate sanctions, export laws, or our internal compliance policies.
SECTION 15 – PROHIBITED USES
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to use the Services:
- for any unlawful, fraudulent, or malicious purpose;
- to violate any international, federal, provincial, state, or local regulation, rule, or law;
- to infringe upon or violate our intellectual property rights or the rights of others;
- to harass, abuse, insult, harm, defame, slander, disparage, or intimidate any person;
- to submit false or misleading information;
- to upload or transmit viruses or malicious code;
- to spam, phish, pharm, pretext, spider, crawl, scrape, or data-mine the Services;
- to interfere with or circumvent the security features of the Services or any related website.
We reserve the right to suspend or terminate your access to the Services at any time, without notice, if we determine that you have violated these Terms or engaged in conduct that may harm VENT D'HIVER, Shopify, or our customers.
SECTION 16 – TERMINATION
We may terminate or suspend your access to the Services, in whole or in part, at any time and for any reason, including any breach of these Terms. You will remain liable for all amounts due up to and including the date of termination.
Sections that by their nature should survive termination (including Intellectual Property, Returns, Shipping, Limitation of Liability, Indemnification, and Governing Law) shall continue in effect.
SECTION 17 – DISCLAIMER OF WARRANTIES
Except as expressly set out in these Terms or required by law, the Services and all products offered through the Services are provided "as is" and "as available" without any representation, warranties, or conditions of any kind, whether express or implied, including implied warranties or conditions of merchantability, fitness for a particular purpose, durability, title, and non-infringement.
We do not guarantee that the Services will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. Your use of the Services is at your sole risk.
Some jurisdictions do not allow the exclusion or limitation of certain warranties, so the above exclusions may not apply to you in full.
SECTION 18 – LIMITATION OF LIABILITY
To the fullest extent permitted by law, in no event shall VENT D'HIVER, our directors, officers, employees, affiliates, agents, contractors, service providers, or licensors, or Shopify and its affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including, without limitation, lost profits, lost revenue, lost data, replacement costs, or similar damages, arising out of or related to your use of (or inability to use) the Services or any products purchased through the Services.
Our total aggregate liability for any claim arising out of or relating to the Services or products purchased through the Services shall not exceed the amount you actually paid to us for the specific product(s) giving rise to the claim.
Some jurisdictions do not allow limitations of liability for certain damages, so some of these limitations may not apply to you.
SECTION 19 – INDEMNIFICATION
You agree to indemnify, defend, and hold harmless VENT D'HIVER, Shopify, and our respective affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from and against any claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (1) your breach of these Terms or any policies referenced herein; (2) your violation of any law or third-party right; or (3) your use of the Services or products.
SECTION 20 – SEVERABILITY
If any provision of these Terms is determined to be unlawful, void, or unenforceable, such provision shall be enforced to the maximum extent permitted by law, and the unenforceable portion shall be deemed severed from these Terms. Such determination shall not affect the validity and enforceability of any remaining provisions.
SECTION 21 – WAIVER; ENTIRE AGREEMENT
Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
These Terms, together with all policies referenced herein and posted on the Services, constitute the entire agreement and understanding between you and VENT D'HIVER and govern your use of the Services, superseding any prior agreements or communications.
Any ambiguity in the interpretation of these Terms shall not be construed against the drafting party.
SECTION 22 – ASSIGNMENT
You may not assign, transfer, or delegate these Terms or any of your rights or obligations under them without our prior written consent. Any attempted assignment in violation of this section is null and void. We may assign, transfer, or delegate our rights and obligations under these Terms without notice to you.
SECTION 23 – GOVERNING LAW AND JURISDICTION
These Terms of Service and any separate agreements whereby we provide you the Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
You agree that any dispute, claim, or controversy arising out of or relating to the Services, products, or these Terms shall be brought exclusively in the courts located in Toronto, Ontario, Canada, and you hereby consent to the personal jurisdiction and venue of such courts.
SECTION 24 – CHANGES TO TERMS OF SERVICE
You can review the most current version of these Terms of Service at any time on this page. We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms by posting updates to our website. Where required by law, we will notify you of any material changes and indicate the date they become effective.
Your continued use of or access to the Services following the posting of any changes constitutes acceptance of those changes.
